الشروط و الأحكام
الشروط والأحكام الخاصة ببوابة مطوري واجهة برمجة التطبيقات(API) أوريدو (Ooredoo) :
من خلال الوصول إلى واجهات برمجة التطبيقات (API) الخاصة بنا أو استخدامها، فإنك توافق على الشروط والأحكام المنصوص عليها أدناه والتي تعد بمثابة عقد فيما بينك كمستخدم وشركة موبايل الوطنية الفلسطينية للاتصالات المساهمة العامة والتي يشار إليها لاحقاً بـ (Ooredoo).
1. الحساب والتسجيل
1.1 قبول الشروط
من المفهوم لديك بأنه لا يجوز لك الدخول في علاقة تعاقدية واستخدام واجهات برمجة التطبيقات (API) أو قبول هذه الشروط والأحكام في الحالات التالية:
أ. اذا لم تبلغ السن القانوني أو لا تملك الأهلية القانونية التي تتيح لك إبرام عقد ملزم مع Ooredoo.
ب. إذا كنت شخص ممنوع من استخدام أو تلقي واجهات برمجة التطبيقات (API) بموجب القوانين المعمول بها في دولة فلسطين أو التشريعات المعمول بها في الدولة التي أنت مقيم فيها أو تستخدم فيها واجهات برمجة التطبيقات (API).
1.2 التسجيل
من المفهوم لديك بأنه لغايات الوصول إلى واجهات برمجة التطبيقات (API) الخاصة بنا، بأنه سيتم طلب تزويدنا ببيانات شخصية معينة (على سبيل المثال لا الحصر، رقم الهوية وتاريخ الميلاد، وإرفاق الهوية وتفاصيل عنوانك ومعلومات الاتصال الخاصة بك) كجزء من عملية التسجيل لواجهات برمجة التطبيقات (API)، أو كجزء من استخدامك المستمر لواجهات برمجة التطبيقات (API).
وعليه فإنك تقر بأن كافة المعلومات التي تم إدخالها من قبلك وأن صورة الهوية التي تم إرفاقها تعود لك شخصياً، وفي حال تبين أن أي من هذه المعلومات غير مطابقة و/أو غير صحيحة، يحق لنا إلغاء طلبك وأخذ كافة الإجراءات القانونية اتجاهك.
1.3الشركات الفرعية والشركات التابعة
من المفهوم لديك بأنه نحن ضمن مجموعة من الشركات ونحن تابعين لشركات أو كيانات قانونية و في جميع أنحاء العالم، وأن لهذه الشركات توفير واجهات برمجة التطبيقات (API) لك نيابة عنا، وإنالشروط والأحكام والمذكورة والمنصوص عليها، سوف تحكم أيضا علاقتك مع هذه الشركات.
2. استخدام واجهات برمجة التطبيقات
2.1 المستخدمون النهائيون
من المفهوم لديك بأنه عليك الزام المستخدمين النهائيين الخاصين بك بالامتثال للقوانين والتعليمات المعمول بها بالإضافة إلى هذه الشروط والأحكام.
2.2 الالتزام بالقوانين المعمول بها
إن موافقتك على هذه الأحكام والشروط يعد بمثابة تعهد منك بالالتزام بكافة القوانين والتعليمات واللوائح المعمول بها، بالإضافة تعهدك بعدم انتهاك أية حقوق للغير و/أو لأي طرف ثالث (بما في ذلك على سبيل المثال لا الحصر، القوانين المتعلقة باستيراد أو تصدير البيانات أو البرامج أو الخصوصية أو القوانين المحلية أو حقوق الملكية الفكرية)، وعليه فإنك تتعهد بعدم استخدام واجهات برمجة التطبيقات (API) لأي غاية أو نشاط غير القانوني أو لأي لأنتهاء لحقوق طرف ثالث أو أي إنتهاك لسياسات Ooredoo أو الشركات التابعة لها..
2.3 الوصول المسموح به
من المفهوم لديك بأنه بإمكانك الوصول إلى بوابة مطوري واجهة برمجة التطبيقات (API) بالطرق الموضحة عند استخدامك البوابة، وعليه فإنك تقر بأنك لن تقوم بإخفاء هويتك الحقيقية أو هوية أي من المستخدمين النهائيين الخاصين بك عند استخدامك أي وسيلة متاحة لك أو لهم.
2.4 قيود استخدام خدمة API
من المفهوم لدية بأنه سيتم وضع وفرض قيود من قبلنا عند استخدامك لواجهات برمجة التطبيقات (API) وفقاً لتقديرنا الخاص، وعليه فإنك تتعهد بالالتزام وعدم التحايل على أي من القيود المفروضة.
وفي حال رغبت بإزالة أي من القيود المفروضة، فعليك الحصول على موافقة خطية وصريحة من Ooredoo.
2.5 عدم الحصرية
أنت تقر بأن Ooredoo قد تطور منتجات أو خدمات أخرى قد تتنافس معك و/أو مع أي من عملاء واجهة برمجة التطبيقات الآخرين و/أو المستخدمين النهائيين.
2.6 شروط حماية البيانات
إنك تتعهد بالالتزام بقوانين وتعليمات حماية ومعالجة البيانات المعمول بها في فلسطين، وفي الدول التي يتم فيها استخدام خدمة واجهة برمجة التطبيقات (API) والانتفاع منها، وأي شروط وأحكام قد تفرض عليك نتيجة استخدام واجهة برمجة التطبيقات (API)، وعليه فإنك تتحمل وحدك المسؤولية في حال الإخلال بأي مما ذكر.
3. عملاء واجهة برمجة التطبيقات (API) الخاصة بك
3.1 معاينة الاستخدام
أنت توافق على أنه يحق لـOoredoo من وقت لآخر معاينة استخدامك واجهة برمجة التطبيقات (API) لضمان الجودة وتحسين منتجات وخدمات Ooredoo والتحقق من امتثالك للشروط والأحكام والتأكد من عدم وجود أي مشاكل أمنية أو تهديدات تؤثر على Ooredoo و/أو أي من مستخدميها و/أو الغير..
وعليه من المفهوم لديك بأن المعاينة قد تشمل (دون حصر) الوصول إلى معلوماتك وتحركاتك الشخصية و/أو المستخدمين النهائيين الخاصين بك والمسجلة لدى واجهة برمجة التطبيقات (API).
3.2 التدابير الأمنية والضمانات الفنية
تتعهد بموجب هذه الأحكام والشروط بأنه عليك حماية معلومات وبيانات المستخدمين النهائيين الخاصين بك الشخصية، وغيرها والتي يتم جمعها واستخدامها وتخزينها بواسطة واجهة برمجة التطبيقات (API) كما وتتعهد بحمايتها من أي استخدام غير مصرح به، وعليك إبلاغ المستخدمين الخاصين بك عن أي وصول غير مصرح به أو استخدام لأي من المعلومات خارج عن الحد المطلوب والمسموح به بموجب القانون المعمول به.
كما وعليك الالتزام بأي سياسات خصوصية مطبقة أو قد تطبق مستقبلاً والتقيد بما هو مسموح لجمع واستخدام ومشاركة البيانات، وأخذ الموافقة الصريحة من المستخدمين الخاصين بك قبل قيامك بأي من الأعمال المذكورة.
3.3 الملكية
لا تحصل Ooredoo على أي ملكية فيما يتعلق بمستخدمين واجهة برمجة التطبيقات الخاصة بك، كما ولا تحصل أنت على أي ملكية في واجهات برمجة التطبيقات الخاصة بنا أو المحتوى الذي يتم الوصول إليه من خلال واجهات برمجة التطبيقات الخاصة بنا.
4. المحظورات والسرية
4.1 المحظورات
عند استخدامك واجهة برمجة التطبيقات (API)، لا يجوز لك أو لأولئك الذين يتصرفون نيابة عنك:
1- القيام بعمل بقصد إدخال أي فيروسات أو عيوب أو برامج ضارة أو أي عناصر ذات طبيعة مدمرة.
2- التشهير، الإساءة، المضايقة لأي سبب كان.
3- التدخل أو تعطيل واجهات برمجة التطبيقات أو الشبكات التي توفر واجهات برمجة التطبيقات.
4- تعزيز أو الشروع بأي محتوى غير مشروع.
5- القيام بأي هندسة عكسية أو محاولة لاستخراج شفرة المصدر من أي واجهة برمجة التطبيقات أو البرمجيات ذات العلاقة.
6- استخدام واجهات برمجة التطبيقات لمعالجة أو تخزين أي بيانات دون موافقة خطية مسبقة وعدم الالتزام بالقوانين والتعليمات المعمول بها.
7- خرق أي من الشروط والأحكام الواردة والقوانين ذات العلاقة.
4.2 المعلومات السرية
تهدف بيانات اعتماد المطور (مثل كلمات المرور/السر والمفاتيح وتفاصيل الهوية) للاستخدام من قبلك ولغايات تحديد هويتك ،وعليه فإنك تتعهد بالحفاظ على سرية هذه البيانات وبممارسة أفضل الجهود لمنع الوصول إليها من قبل أي طرف ثالث.
قد تحتوي اتصالاتنا معك ومع واجهات برمجة التطبيقات الخاصة بنا على معلومات سرية (على سبيل المثال لا الحصر أي مواد أو اتصالات أو معلومات يتم تمييزها على أنها سرية للغاية أو يتم تصنيفها عادة على أنها سرية في ظل هذه الظروف)، وإن موافقتك على هذه الشروط والأحكام تعد بمثابة موافقة منك بالحفاظ على سرية هذه المعلومات وعدم الإفشاء بها لأي سبب كان.
4.3 المحتوى الذي يمكن الوصول إليه من خلال واجهات برمجة التطبيقات
تحتوي واجهات برمجة التطبيقات الخاصة بنا على بعض المحتويات التي تخص الغير، وتكون هذه المحتويات مسؤولية الشخص الذي جعلها متاحة، ولا يحق لك استخدام هذه المحتويات إلا إذا كنت مرخصاً للقيام بذلك من قبل مالك هذا المحتوى أو مسموحا بذلك قانوناً.
يرجى ملاحظة أن وصولك إلى المحتوى الذي يمكن توفره عبر واجهة برمجة التطبيقات قد يكون مقيدا أو محدودا وفقا للقوانين والتعليمات المعمول بها.
4.4 تقديم المحتوى
لا تحصل Ooredoo على أي ملكية لأي محتوى تقدمه من خلال واجهة برمجة التطبيقات الخاص بك.
4.5 الحظر على المحتوى
ما لم تنص القوانين المعمول بها أو يوافق مالك المحتوى على عكس ذلك، فإنك تصرح بأنك لن تقوم ولن تتيح للمستخدمين النهائيين الخاصين بك أو أي شخص آخر يتصرف نيابة عنك بالقيام بالآتي:
1- نسخ أو ترجمة أو تعديل أو إنشاء عمل مشتق من أو بيع أو تأجير أو نقل أو توزيع أو عرض أو إعادة ترخيص أي محتوى لأي طرف ثالث.
2- إساءة تمثيل المصدر أو الملكية.
3- إزالة أو تغيير أو تزوير أي إشعارات بحقوق الطبع والنشر أو العلامات التجارية أو غيرها من إشعارات حقوق الملكية أو القانونية.
5. ميزات العلامة التجارية
5.1 ميزات العلامة التجارية
تعرف "ميزات العلامة التجارية" بأنها الأسماء التجارية والعلامات التجارية والخدمة والشعارات وأسماء الدومين/المجال وغيرها من السمات التجارية المميزة لكل طرف.
باستثناء الحالات المنصوص عليها صراحة، فإن الشروط والأحكام هذه لا تمنح أي من الطرفين أي حق أو ملكية أو مصلحة في ميزات العلامة التجارية الخاصة بالطرف الآخر.
5.2 الدعاية
من المفهوم لديك بأنه لا يجوز لك الإعلان أو نشر أي بيان يتعلق باستخدامك لواجهة برمجة التطبيقات (API) بالشراكة أو بالراعية من قبل Ooredooدون الحصول على موافقة خطية مسبقة من Ooredoo.
5.3 الترويج والتسويق
لـOoredoo الحق أثناء ترويج أو تسويق واجهات برمجة التطبيقات (API) أو أي منتجات مرتبطة بها، استخدام المحتوى الخاص بك أو بيانات المستخدمين النهائيين الخاصين بك، بالإضافة إلى استخدام اسم شركتك أو اسم المنتج في أي أنشطة ترويجية أو تسويقسة قد تنتجها Ooredoo.
وعليه فأنت توافق على منح Ooredoo جميع الحقوق اللازمة للأغراض المذكورة أعلاه.، ودون أي اعتراض من قبلك.
6. الخصوصية وحقوق النشر
سياسات الخصوصية الخاصة بـOoredoo
باستخدام واجهات برمجة التطبيقات الخاصة (API) بنا، قد تستخدم Ooredooالمعلومات المقدمةمن خلالك أو من خلال المستخدميين النهائيين الخاصين بك وفقا لسياسة الخصوصية الخاصة بها والتي ستكون متاحة على موقعها.
7. الإنهاء
7.1 الإنهاء
يمكنك التوقف عن استخدام واجهات برمجة التطبيقات (API) الخاصة بنا في أي وقت بعد تزويدنا بإشعار خطي مسبق يفيد ذلك أو من خلال الوسيلة المخصصة لذلك والمتاحة على موقعنا.
كما وتحتفظ Ooredoo بالحق في إنهاء أو إيقاف واجهات برمجة التطبيقات (API) أو أي جزء منها أو ميزة أو إيقاف وصولك إليها، وذلك لأي سبب من الأسباب وفي أي وقت دون أي مسؤولية أو التزام على Ooredoo.
7.2 التزاماتك بعد انتهاء
من المفهوم لك بأنه ستقوم بالتوقف فوراً عن استخدام واجهة برمجة التطبيقات (API) في حال تم إنهاء هذه الشروط والأحكام أو إيقاف وصولك إلى واجهة برمجة التطبيقات (API).
8. المسؤولية
8.1 الضمانات
نحن نقدم واجهات برمجة التطبيقات (API) "كما هي"، وعليه نحن لا نقدم أي نوع من الضمان حول واجهات برمجة التطبيقات (API) أو المحتوى أو الميزات المتاحة أو توفر الخدمة أو قدرة الخدمة على تلبية احتياجاتك.
8.2 تحديد المسؤولية
لا تكون Ooredoo أو أي موزعيها أو مورديها مسؤولين عن أي أرباح أو إيرادات أو بيانات أو خسائر مالية مباشرة أو غير المباشرة أو أي أضرار، أو أية أمور أخرى تتعلق بالمسؤولية تبعية.
وفي جميع الحالات، لن تكون Ooredoo أو أي من موزعيها أو مورديها مسؤولين عن أي أضرار لا يمكن توقعها أو التي قد تنتج عن القوة القاهرة.
8.3 التعويض
تتعهد بأنك سوف تدافع وتعوض Ooredoo والشركات التابعة لها أو الشركات الرئيسية أو الشركاء فيها والمديرين والمسؤولين والموظفين والمستخدمين، ضد جميع الالتزامات والأضرار والخسائر والتكاليف والرسوم (بما في ذلك على سبيل المثال لا الحصر أتعاب المحاماة) والنفقات المتعلقة بأي ادعاء أو إجراء قانوني من أي طرف ثالث إلى الحد الذي ينشأ عن:
1- أي سوء استخدام من قبلك أو من قبل المستخدم النهائي لواجهات برمجة التطبيقات (API).
2- أي انتهاك من قبلك أو من قبل المستخدم النهائي للشروط والأحكام.
3- أي محتوى أو بيانات يتم توجيهها إلى أو استخدامها أو إدخالها في واجهات برمجة التطبيقات (API) من قبلك أو من قبل أي شخص يتصرف نيابة عنك أو من قبل المستخدمين النهائيين.
4- أي إنتهاء للقوانين واللوائح والأنظمة والتعليمات.
.9 الشروط القانونية العامة
9.1 تحتفظ Ooredoo بحقها وبإرادتها المنفردة في تحديث و/أو تغير و/أو إعادة صياغة الشروط والأحكام و/أو أي شروط أخرى تتعلق بالخدمات و/أو المنتجات و/أو الأسعار من وقت لآخر في أي وقت كان ودون سابق إنذار.
ويشكل استخدامك المستمر لواجهة برمجة التطبيقات (API) بمثابة موافقة منك على الشروط والأحكام.
9.2 تخضع هذه الشروط والأحكام للقوانين المعمول بها في دولة فلسطين، وفي حال نشوء أي خلاف و/أو نزاع بخصوصهم، فإن عليك تسوية هذا النزاع بالطرق الودية وبحسن نية مع Ooredoo، وفقط في حال لم يتم تسوية النزاع ودياً بينك وOoredoo، فإنه تكون محاكم رام الله/فلسطين هي المختصة لنظر بأي خلاف و/أو نزاع قد ينشأ بينك وبين Ooredoo.
API Terms and Conditions - Ooredoo :
By accessing or using our APIs, you are agreeing to the terms and conditions set forth in this agreement.
Therefore, you agree to comply with the Terms which will define our contractual relationship as well as your obligations.
1. Account and Registration
1.1 Accepting the Terms
You hereby acknowledge that you are ineligible to enter into a contractual relationship, utilize the APIs, or agree to these terms and conditions in any of the following circumstances:
a. If you are not of legal age and/or do not possess the legal capacity to enter into a binding agreement with Ooredoo.
b. If you are legally prohibited from using and/or accessing the APIs pursuant to the applicable laws in Palestine or the jurisdiction in which you reside or access the APIs.
1.2 Registration
In order to access the APIs, you are required to provide specific personal information, including, but not limited to, your ID number, a copy of your ID, date of birth, address details, and contact information, as part of the registration process or for your continued use of the APIs.
You represent and warrant that all information provided by you herein are accurate, complete, and the ID provided belongs to you personally. Should any information be found to be false or inaccurate, Ooredoo reserves the right to reject your application and pursue any applicable legal remedies.
1.3 Subsidiaries and Affiliates
You hereby acknowledge that Ooredoo operates as part of a group of affiliated companies globally. Such affiliated companies may provide the APIs on behalf of Ooredoo, and accordingly the terms and conditions herein shall also govern your relationship with such affiliates.
2. Using Our APIs
2.1 End Users
You shall ensure that your end users comply with all applicable laws and regulations, in addition to adhering to these terms and conditions.
2.2 Compliance with the Law, Third Party Rights, and Other Ooredoo’s Terms and conditions
By agreeing to comply with these terms and conditions, you undertake to comply with all applicable laws, regulations, and policies, including, but not limited to, those concerning data import/ export, software, privacy, local regulations, and intellectual property rights. You further agree not to use the APIs for any unlawful purposes or in violation of third-party rights, including Ooredoo’s policies and those of its affiliates
2.3 Authorized Access
Your access to the API Developer Portal shall be in accordance with the methods prescribed herein. You agree not to disguise your identity or the identity of your end users when utilizing the APIs.
2.4 Usage Restrictions
Ooredoo reserves the right to impose usage restrictions on the APIs at its sole discretion. You agree not to circumvent such restrictions. Any request for lifting these restrictions shall be approved in writing by Ooredoo.
2.5 Non-Exclusivity
You hereby acknowledge that Ooredoo may develop and offer products and/or services that may compete with your offerings, your end users’ offerings, or those of other API users.
2.6 Data Protection Obligations
You agree to comply with all applicable data protection laws and regulations in Palestine and any jurisdictions where the APIs are being used. You further accept full liability for any breach of such laws and regulations.
3. Your API Clients
3.1 Monitoring
Ooredoo reserves the right to monitor your use of the APIs in order to improve its services, address security and operational concerns that may affect Ooredoo, its users, and/or any third party, as well as to ensure your compliance with the terms and conditions herein.
Monitoring activities may include, but not be limited to, access to your personal information and/or end-user data stored within the APIs.
3.2 Security Measures
You hereby undertake to protect your end users’ personal and other data collected, used or store through the APIs from unauthorized access or use. Any unauthorized access or data misuse shall be reported to your end users and managed in accordance with the applicable laws.
You shall also adhere to any applicable privacy policies or any policies to be applicable in the future and obtain explicit consent from your end users before using their data.
3.3 Ownership
You hereby agree and acknowledge that you do not acquire any ownership rights in Ooredoo’s APIs or the content accessed through them. Notwithstanding the foregoing, you retain ownership of your API clients, and any data generated or owned by them.
4. Prohibitions and Confidentiality
4.1 Prohibitions
When using the APIs, you and your representatives are prohibited from:
Introducing viruses, malware, or any other destructive elements.
Engaging in defamatory, abusive, or harassing behaviours for any reason.
Engaging in any activity that interferes with or disrupts the functionality of the APIs or the networks supporting the APIs.
Promoting or engaging in unlawful activities.
Reverse engineering or extracting the source code from the APIs.
Storing or processing data without prior written consent and not complying with the applicable laws and regulations.
Violating the terms and conditions herein and any related laws.
4.2 Confidential Information
Developer credentials, including passwords, ID details, and API keys, are confidential and intended solely for your use. You therefore undertake to maintain their confidentiality and prevent any unauthorized access to them.
The communications between you and Ooredoo, as well as the APIs, may include confidential information, including, but not limited to, any materials, communications, or information marked as highly confidential or typically classified as confidential under certain circumstances. By agreeing to these terms and conditions, you consent to maintaining the confidentiality of such information and not to disclose it to any third party under any circumstances.
4.3 Third-party Content
The APIs may contain content owned by third parties. The responsibility for such content lies with the individual or the entity that made it available. You may only use such content with proper authorization or as permitted by law.
You need to be aware that your access to the content available through the APIs may be restricted or limited in accordance with the applicable laws and regulations.
4.4 Submitted Content
Ooredoo does not claim ownership rights over the content provided through the use of the APIs.
4.5 Prohibitions on Content
Unless otherwise permitted by the applicable laws or explicitly authorized by the content owner, you hereby represent and warrant that neither you nor your end users, or your representatives, will:
Copy, translate, modify, create derivative works from, sell, lease, transfer, distribute, display, or sublicense any content owned by a third party.
Misrepresent the source or ownership of the content.
Delete, alter, or falsify any copyright, trademark, proprietary, or any legal notices associated with the content.
5. Brand Features; Attribution
5.1 Definition and Ownership of Brand Features
Brand features are defined as the trade names, trademarks, services, logos, domain names, and any other distinctive branding elements of each party.
Except as expressly stated herein, these terms and conditions shall not grant either party any rights, ownership, or interests in the brand features of the other party.
5.2 Publicity
You hereby acknowledge that you may not issue public statements or imply a partnership with Ooredoo regarding your use of the APIs without the prior written consent by Ooredoo.
5.3 Promotion and Marketing
Ooredoo shall have the right to use your content, end user content, and brand names for promotional and marketing activities related to the APIs. By accepting the terms and conditions herein, you grant Ooredoo the necessary rights for such use.
6. Privacy and Copyright Protection
Ooredoo’s Privacy Policies
By using Ooredoo’s APIs, you hereby grant Ooredoo the right to utilize the data and/or information provided by you or your end users in accordance with its privacy policies, which shall be made available on its website.
7. Termination
7.1 Termination
You may terminate your use of the APIs at anytime by providing written notice to Ooredoo or by utilizing the termination methods available on Ooredoo’s portal.
7.2 Termination by Ooredoo
Ooredoo shall have the right to terminate and/or deny you access to and use of the API, in whole or in part, at any time and for any reason without any liability.
7.3 Post-Termination Obligations
Upon termination, you shall immediately discontinue the use of the APIs.
8 Liability for our APIs
8.1 Disclaimer of Warranties
The API is provided “as is” basis. Ooredoo hereby disclaim all warranties of any kind, express or implied, including without limitation the warranties of merchantability and fitness for a particular purpose. Ooredoo makes no warranty that the API will be error free or that access thereto will be continuous or uninterrupted.
8.2 Limitation on Liability
Ooredoo and its affiliates shall not be liable for any direct, indirect, incidental, or consequential damages, including loss of profits, data, or revenue, arising out of your use of the API.
8.3 Indemnification
You hereby agree to defend, indemnify, and hold harmless Ooredoo and its affiliates, officers, and employees from any claims, damages, or expenses arising out of:
Any misuse of the APIs by you and/or your end users.
Any violation and/or breach of the terms and conditions by you and/or your end users.
Any data and/or content submitted through the APIs by you, your end users, and/or your representatives.
Any violations of the applicable laws and regulations.
9 General Legal Provisions
9.1 Updates to the Terms and Conditions
Ooredoo reserves the right, at its discretion, to update, modify, amend, or revise the terms and conditions, or any other terms related to the services, products, or prices, ay any time and without prior notice. The continued use of the APIs constitutes your acceptance of any changes.
9.2 Governing Law and Dispute Resolution
These terms and conditions are governed by and construed in accordance with the laws of Palestine. Any conflict or dispute arising hereunder shall be resolved amicably and in good faith. Failing such resolution, the parties hereby shall submit all disputes to the exclusive jurisdiction of Ramallah courts.
